There can be several changes within a corporation. Its directors and shareholders may decide to change its name or registered office. A director may resign and may or may not be replaced. New shareholders may invest in the corporation and receive shares. A death may occur.

All of these changes must be reflected in the minutes book of the corporation. In some cases, agreements will need to be prepared, such as in the case of a share sale. Certain government formalities will also need to be taken care of. The Registraire des entreprises du Québec and Corporations Canada, if applicable, must be notified of all these changes and authorize some of them, such as a name change, which also requires a preliminary search to ensure the availability of the chosen name.

Simply failing to notify the competent government authority of a director's resignation may result in that director being held responsible for actions taken by other directors after their departure.
